Description of Services

These Terms & Conditions ("Terms") govern the participation of affiliates ("Affiliate") in the DP Derm Refersion Affiliate Marketing Program ("Program") provided by DP Derm ("Company"). By signing up for the Program, the Affiliate agrees to comply with these Terms and any amendments made thereto.

Tools

DP Derm will provide the Affiliate with marketing materials, tracking links, and other tools necessary to promote DP Derm products and track sales generated through the Affiliate's efforts. The Affiliate will be responsible for maintaining their own website, social media platforms, and any other promotional channels.

Restrictions

The Affiliate agrees not to:

• Engage in deceptive, fraudulent, or unethical marketing practices.
• Misrepresent DP Derm products or services.
• Use unauthorized or misleading promotional content.
• Compete directly with DP Derm or promote competing products.
• Share confidential information or trade secrets of DP Derm.

Compensation

The Affiliate will receive a commission of 20% of the sale for every online purchase made through their affiliate link, provided the payment is processed and valid. Commissions will be tracked through cookies with a 90-day duration. Payments will be made on a monthly basis, subject to meeting any minimum payout thresholds specified by DP Derm.

Confidentiality

The Affiliate agrees to keep confidential all non-public information received from DP Derm, including but not limited to business practices, marketing strategies, and customer data. This obligation will survive the termination of the affiliate relationship.

Content License

DP Derm grants the Affiliate a non-exclusive, revocable license to use DP Derm’s marketing materials, content, and branding solely for the purpose of promoting DP Derm products under these Terms. The Affiliate may not alter or modify the provided content without prior written consent from DP Derm.

Intellectual Property Rights

All intellectual property rights, including trademarks, logos, and copyrighted materials, remain the property of DP Derm. The Affiliate acknowledges that they have no ownership or rights to use DP Derm’s intellectual property except as expressly permitted under these Terms.

Brand Materials & Trademark

The Affiliate must use DP Derm’s brand materials and trademarks in accordance with the provided guidelines. Misuse or alteration of DP Derm’s brand materials is strictly prohibited and may result in immediate termination of the affiliate relationship.

Minimum Age Requirement

The Affiliate must be at least 18 years old to participate in the Program.

FTC Requirements

The Affiliate agrees to comply with all Federal Trade Commission (FTC) regulations and guidelines regarding endorsements and testimonials, including the requirement to disclose their affiliate relationship with DP Derm in a clear and conspicuous manner.

Indemnification

The Affiliate agrees to indemnify, defend, and hold harmless DP Derm from any claims, damages, or liabilities arising out of the Affiliate’s breach of these Terms, misuse of DP Derm’s intellectual property, or violation of any laws or regulations.

Term and Termination

These Terms are effective upon the Affiliate’s acceptance into the Program and will remain in effect until terminated by either party. DP Derm reserves the right to terminate the Affiliate’s participation in the Program at any time, with or without cause, by providing written notice to the Affiliate.

Independent Contractor

The Affiliate acknowledges that they are an independent contractor and not an employee, agent, or representative of DP Derm. The Affiliate has no authority to bind DP Derm or make any commitments on behalf of the Company.

Governing Law, Jurisdiction, and Venue

These Terms shall be governed by and construed in accordance with the laws of the state in which DP Derm is headquartered. Any disputes arising out of or relating to these Terms shall be resolved in the state or federal courts located in that state.

Notices

All notices or communications required or permitted under these Terms shall be in writing and delivered to the respective parties at their designated email addresses.

Equitable Relief

The Affiliate acknowledges that a breach of these Terms may cause irreparable harm to DP Derm for which monetary damages may not be an adequate remedy. Therefore, DP Derm shall be entitled to seek equitable relief, including injunctions, in addition to any other rights and remedies available at law or in equity.

By participating in the DP Derm Refersion Affiliate Marketing Program, the Affiliate agrees to these Terms & Conditions. If the Affiliate does not agree to these Terms, they must not participate in the Program.
